There's I think 3 Bad Endings you can get at various points of the story. The greyed out option here is one, and you can only pick it if you haven't been cooperating with Jaye.

There are a couple of bad endings, the one you mention that you cannot access involves the MC not saving Jaye from drowning, but instead Lisa saving Jaye's life, Jaye in turn losses all trust / love with MC, and it is decided that he cannot take over the business, Jaye never speaks to him again.....

It's greyed out if you have too much trust and love points for Jaye to even consider that ending. Be an asshole to her and that option will be available.
There are two other bad endings : one where you commit to exclusive relationships with both girls, they find out about it and dump your ass, and you are banished from running the company, and one other where you get stabbed on the boat and don't make it...
